To All the Officers and Members of IUOE Local Union No. 37
Dear Brothers and Sisters:

I am writing today to advise you of the actions of the International Union of Operating Engineers
IUOE} with respect to IUOE Local Union No. 37. Local 37's difficulties in signing up contractors and
organizing new members, and its apparent focus on political activities to the detriment of other matters have
been a concern for some time. These difficulties have led to a decline in the Local's membership numbers, as
well as a loss in overall market share. The concerns about the Local's operations were heightened earlier this
year in light of reports of a physical altercation at a Local 37 membership meeting. In response, I wrote
Business Manager James R. Dejuliis and outlined the necessary measures for ensuring orderly and full
membership participation at your Local's meetings, and my Executive Assistant Jim Van Dyke met with the
Local's Executive Board. Subsequently, a Labor Department investigation has been initiated with respect to the
Local, and, effective July 31, 2006, Brother DeJuliis resigned his office.

This week I met with your Local's new Business Manager, Joseph Shanahan, and discussed my
concerns with him. In light of our discussions and the issues outlined above, I have decided to exercise the
General President's authority under
Article VI, Section
4 of the International Constitution to appoint Region I
Regional Director Daniel McGraw as International Monitor. of the affairs of Local 37, and John Gregory, the
International Union's Director of Jurisdiction, as Assistant Monitor. Brother McGraw and/or Brother Gregory
will attend Executive Board and membership meetings, provide guidance with respect to the overall operations
of the Local, and work with Business Manager Shanahan and the Local's officers and employees to upgrade and
improve all aspects of Local 37's service to its members. Business Manager Shanahan advised me that he fully
supported the decision concerning the International Monitor, and the International Union is very appreciative of
his cooperation,

ln addition, so that there can be no question concerning the status of the 'Local's finances, Business
Manager Shanahan has requested that a review be conducted of the Local Union's books and records and, in
response, a team of auditors from the International Union's outside certified public accounting firm, Calibre
CPA Group, will conduct such a review.

I ask that you give the Local Union and the International Monitor your active support, and put aside any
preexisting internal differences to join together for the good of the overall organization. With your cooperation,
Local 37 can address its problems and improve its services to you. A stronger, united Local Union, with the
bargaining power to deliver better wages and benefits for its members and their families, is our mutual goal.
With hard work, the assistance of the International Monitor, and your participation, we can achieve this goal.
